Accounting Procedure - Revision of 2004 Model Contract

The AIPN Model Contract International Accounting Procedure Revision Committee will update the 2004 contract and create an accounting procedure for the AIPN 2006 Model Contract International Unitization and Unit Operating Agreement.
The update of the 2004 Contract will be done in parallel with the current, ongoing revision of the AIPN Model Contract International Operating Agreement in order to complete that update at the same time as the revised operating agreement. As part of its assignment, the committee will prepare guidance notes and an education module for the updated accounting procedure and the new unitization accounting procedure.
At the conclusion of its work, the committee will form a model contract monitoring committee to provide a continuing review of issues and concerns that may arise in relation to both forms after the formal work of the committee is completed.

Please consider becoming a member of the new drafting committee for the AIPN Model Contracts Template, Terms, and Definitions Project. We invite any AIPN members to become a member of this drafting committee. We especially invite past and present co-chairs of drafting committees to become members.
This Project, which has been approved by the AIPN Board will endeavor to do the following:
I: Prepare a set of model definitions for model contracts to be incorporated into an AIPN Model Contracts Template.
II: Prepare a set of “general” terms for model contracts from a review of all existing contracts. These new general terms would be incorporated into an AIPN Model Contracts Template.
III: Review (largely a form and style edit) of the existing AIPN Model Dispute Resolution Provisions in consultation with the prior co-chairs of that drafting committee. These restyled provisions would remain as a stand-alone agreement, but they would also be incorporated into an AIPN Model Contracts Template.
IV: Design and prepare a user-friendly AIPN Model Contracts Template. All Drafting Committees will be required to use the Model Contracts Template when preparing a new model contract. This template will include layout, fonts, outline format, standard cover, standard disclaimer, model definitions, model “general terms,” and model dispute resolution provisions. The objective is for all AIPN contracts to have a consistent look and to follow a prescribed format. Each new drafting committee will begin their drafting task by using this new template.
V. Prepare a new shorter AIPN Model Contracts Drafting Manual to provide helpful drafting advice in accordance with the above.
VI: Study and perhaps implement the incorporation all of I-IV into all existing AIPN Model Contracts to assure that all models conform to the above as soon as practicably possible. To the extent possible, this would be done in consultation with the drafting chairs or members of the drafting committee for each contract.
Area of Mutual Interest Agreement

The AIPN Board of Directors recently approved the formation of a drafting committee to develop a new AIPN International Model Area of Mutual Interest (AMI) Agreement.
Frank Alexander, a partner with Fraser Milner Casgrain LLP, and Michael Josephson, Assistant General Counsel, International, with Nexen Inc., will co-chair the drafting committee.
The objective of the drafting committee will be to develop a Model AMI Agreement utilizing alternatives and options as necessary to reflect different approaches to AMIs in common use in the international petroleum industry.

Gas Balancing Agreement

The AIPN Board of Directors has approved the formation of a new drafting committee to develop a Model International Gas Balancing Agreement. The new model form will utilize options and alternatives to address different commercial scenarios and be adaptable for use in jurisdictions regardless of seasonal issues, stage of maturity of the gas field, regulatory (and antitrust) environment, and level of market openness and availability. The co-chairs of this new initiative are AIPN Director Ariel Kaufman and BG Group’s Graham Stewart.
Volunteers are being sought to join the drafting committee.
International Operating Agreement (JOA) - Revision of 2002 Model Contract

The Board has charged the JOA Revision Committee to update and to the extent possible simplify and shorten the 2002 Model JOA, create guidance notes and refine the presentation for the Model JOA. Appointed Co-Chairs are James Barnes (Barnes & Cascio) and Garry Howe (Noble Energy).
LNG Master MSA - additional documents drafting

The LNG Committee is now working on two additional tasks realted to the finalized LNG MSA:
(1) creating the education module for the AIPN Model LNG Master Sales Agreement (MSA), and
(2) crafting an FOB version of the MSA.
